Intellectual Property

This includes treatments, scripts, edits, motion graphics, sound design, and other creative work produced by us, except as expressly assigned in a written production agreement, statement of work, or license.

Service Provision & Payment

Film, video, and related production services are provided according to a mutually executed proposal, estimate, or contract that defines scope, schedule, deliverables, and fees. Retainer or installment payments are due as specified in that document. Late payment may result in suspension of work or withholding of deliverables as permitted by law and the parties' agreement.

Third-Party Services

In delivering productions, we may use or recommend third-party platforms or vendors—such as cloud storage, review tools, music licensing, stock footage, or rental houses ("Third-Party Services").

If you use any Third-Party Services, you understand that:

• Use of a Third-Party Service is at your own risk, and we are not responsible for third-party websites, applications, or policies.
• We shall not be liable for damage or loss alleged to arise from content, goods, or services on third-party sites or from your reliance on them.

Accounts & Client Responsibilities

Where our Services require access to your accounts (e.g., file transfer, review portals, or distribution platforms), you agree to provide timely, accurate credentials. You are responsible for securing your own accounts and for notifying us promptly of unauthorized access or security concerns affecting a production.

Links To Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by Wise Woman Productions, L.L.C.

Wise Woman Productions, L.L.C. assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. We shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by use of or reliance on any such content, goods, or services.

Termination

We may terminate or suspend your access to all or part of our Services at any time, with or without cause or notice, including for non-payment or breach of this Agreement where applicable.

If you wish to terminate an engagement, you must do so in accordance with your written agreement with Wise Woman Productions, L.L.C. (for example, notice periods or kill fees as specified).

Provisions that by their nature should survive termination—including ownership, confidentiality, indemnity, and limitations of liability—shall survive.

Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE." Wise Woman Productions, L.L.C. and its suppliers and licensors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. We do not guarantee specific box-office, viewership, or marketing outcomes, which depend on factors outside our sole control.

Jurisdiction and Applicable Law

Except where applicable law provides otherwise, this Agreement and any access to or use of our Services shall be governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Venue for disputes shall lie in the state and federal courts located in Missouri, unless the parties agree otherwise in writing.

Changes

Wise Woman Productions, L.L.C. may modify or replace these Terms at our discretion. If we make material changes, we will provide reasonable notice where required. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
